Terms of Use
The conditions on which this site is made available, and what you may and may not do with the programming shown on it.
These terms govern your use of sd-media.net (the “Site”), operated by SD Media, LLC (“SD Media”, “we”, “us”), a limited liability company organised under the laws of the State of Georgia, United States. By using the Site you accept these terms. If you do not accept them, please do not use the Site.
1. What this Site is
The Site is a portfolio and information resource describing SD Media's production services, commissioned work and owned programming catalogue. It is not a shop, a streaming service or a transactional licensing platform, and nothing on it is a public offer. Where the Site links to third-party platforms — including Pond5, where the SD Media Stock Footage Library is licensed — those transactions are governed by that platform's own terms, not these.
2. Ownership of content
All material on the Site — including moving images, stills, trailers, series titles, format descriptions, written copy, layout, design, logos and the SD Media name and marks — is owned by SD Media or used by us under licence, and is protected by United States and international copyright and trademark law.
Programming referred to on the Site, including Maximum Foodie, Road Less Traveled, LUXE Travels and Food Unknown, is SD Media intellectual property. Work produced for or with third parties is identified as such, and the rights in it sit where the relevant production agreement places them.
3. What you may do
- View the Site and share links to it.
- Quote short extracts of the written copy for journalistic, review or industry-reporting purposes, with attribution to SD Media.
- Use press materials we have expressly supplied to you, on the terms on which we supplied them.
4. What you may not do
- Download, copy, re-upload, re-cut, sell, sublicense or publicly perform any footage, still or trailer from the Site.
- Use any of it to train, fine-tune or evaluate a machine learning or generative AI system.
- Scrape, harvest, mirror or systematically extract the Site or any part of it, whether by automated means or otherwise.
- Frame or embed the Site in a way that misrepresents its origin, or remove or obscure any copyright, credit or trademark notice.
- Use the SD Media name, logo or programming titles in a way that implies an endorsement, partnership or commission that does not exist.
- Attempt to interfere with, probe or gain unauthorised access to the Site or its infrastructure, or submit anything to it that is unlawful, defamatory or contains malicious code.
Licensing enquiries — including clip licensing, catalogue licensing, format rights and archive access — are welcome and are handled through the contact page. Ask, and it is usually straightforward.
5. Accuracy and forward-looking statements
We keep the Site current, but production credits, running orders, episode counts, broadcast partners and availability change. Descriptions of projects in development or production reflect our position at the time of writing and are not a guarantee of delivery, transmission or availability. Nothing on the Site should be relied upon as a warranty of any fact about a title or a service.
6. No contract is formed here
Descriptions of services, rates, catalogue availability and production capability on the Site are for information only. Any engagement of SD Media for production services, and any licence of SD Media programming, is governed exclusively by a separate written agreement signed by both parties. In the event of a conflict, that agreement prevails over anything stated here.
7. Submissions and unsolicited material
Please do not send us unsolicited formats, treatments, scripts or programme ideas. We develop our own slate and work with commissioners and partners on projects already in progress, and reviewing unsolicited material creates a risk of a later dispute over similarity that is unfair to both of us. Anything sent to us unsolicited is received on a non-confidential basis and creates no obligation of any kind on our part.
8. Third-party services and links
The Site embeds video from YouTube and links to third-party sites, including social platforms and partner and broadcaster sites. We do not control those services and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.
9. Availability
The Site is provided on an “as is” and “as available” basis. We do not warrant that it will be uninterrupted, error-free or free of harmful components, and we may change, suspend or withdraw any part of it at any time without notice.
10. Limitation of liability
To the fullest extent permitted by law, SD Media, its members, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of the Site — whether the claim is framed in contract, tort, negligence, strict liability or otherwise, and whether or not we were advised of the possibility of such loss.
Where liability cannot lawfully be excluded, our total aggregate liability arising out of or in connection with the Site is limited to one hundred US dollars (US$100).
Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the law of the State of Georgia.
11. Indemnity
You agree to indemnify and hold SD Media harmless against any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these terms or your misuse of the Site or of any content taken from it.
12. Privacy
Our handling of information submitted through the Site is set out in our Privacy Policy, which forms part of these terms.
13. Governing law and venue
These terms, and any dispute or claim arising out of or in connection with them or the Site, are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws provisions. You and SD Media submit to the exclusive jurisdiction of the state and federal courts located in the State of Georgia, and each of us waives any objection to venue in those courts.
14. General
If any provision of these terms is found unenforceable, the remainder continues in full force. Our failure to enforce a provision is not a waiver of it. We may update these terms from time to time; the date at the top reflects the current version, and your continued use of the Site after a change constitutes acceptance of it.
